October 9, 2006 that the Southern Virginia Recreation Facilities Authority ("the Authority") is hereby created and established as a body politic and corporate in the Commonwealth of Virginia, under the following: ARTICLES OF INCORPORATION Article I. The Southern Virginia Recreation Facilities Authority ("the Authority") is hereby created and established as a body politic and corporate in the Commonwealth of Virginia. The principal office of the Authority shall initially be located at the Martinsville Municipal Building, 55 West Church Street, Martinsville, VA 24114; provided, however, that the board of directors of the Authority may by majority vote relocate the principal office to any other location in the City of Martinsville or Henry County at any time, without asking the Local Governing Bodies to amend these Articles of Incorporation. Article 2. The Authority is created and establIshed under the provisions of the Public Recreational Facilities Act. Chapter 56 of Title] 5.2 (~~ 15.2-5600 through 15.2-5616 of the Code of Virginia)("the Act') The Authority shall have all powers and duties set forth III the Act. as the same may from time to time be amended.' Article 3. The initial term of the Authority's eXlstence shall be fifty years, ending October 8, 2057; provided, however, that the participating localities may dissolve the Authority at an earlier date upon request of the Authority's board of directors, as provided in the Act. , Article 4. The participating localities creating the Authority are the City of Mart~nsville and the County .of Henry, both independent political subdivisions' of the Commonwealth of Virginia. . Article, 5. The Authority's purposes will include acquiring, financing, constructing, owning and operating public recreational facilities in. Martinsville and Henry County, and to that end it will have all statutory powers granted by the Act. Any proj~ct permitted under the Act shall be an eligiple project for the Authority. Consistent with the Act, no future obligation of the Authority shall constitute a debt or pledge of the full faith and credit of the Commonwealth of Virginia, the County of Henry or the City of Martinsville. Article 6. The initial members of the board of directors of the Authority, and their business addresses are: Benny Summerlin Henry County Administrator 3300 King's Mountain Road P.O. Box 7 Collinsville, VA 24078 Robert R. "Dan" Collins Martinsville City Manager 55 West Church Street P.O. Box 1112 Martinsville VA 24114 They, and their respective successors in office as county administrator and city manager, shall serve as members ex officio, who shall be entitled to participate as full, voting members. Their terms on the Authority shall be concurrent with their respective terms of employment as county administrator and city manager.
