<br />October 9, 2006 <br /> <br />Following the ado.ption of these articles of incorporation, each Local Governing Body shall appoint three <br />additional residents of its locality, and a fourth resident of the locality nominated by the Harvest <br />Foundation of the Piedmont, to serve as voting members of the board of directors. Notwithstanding the <br />provisions of the Act, such voting members shall not be officers or employees of the City or County <br />governments. <br /> <br />Two of each locality's initial appointees shall be appointed for a term of two years, and the other two, <br />including the Harvest Foundation's nominees, shall be appointed for a term of four years. Subsequent <br />appointments shall be for full four-year terms, or to fill vacancies for the unexpired current term. No <br />member shall serve more than two full four-year terms. <br /> <br />Article 7. All members of the board of directors shall serve without compensation, but may be reimbursed <br />by the AuthOrIty for their actual expenses incuned in the course of their duties. They shall file such <br />annual financial dIsclosure statements as may be required under the State and Local Government ConflIct <br />or Interests Act or other applIcable state ]a\\, <br /> <br />Article 8. The board of directors shall annually elect one of its members to serve as chairman and one as <br />vice chamllan. It shall also appoint a secretary and treasurer, who nee.d not be members of the board. <br /> <br />The next item for.consideration was the appointments to the Authority by <br /> <br />the County and City. The Henry County Board approved 5-1 the following <br /> <br />appointments-Robert Davis, Harry Lance, Ben Gravely and James McClain. . <br /> <br />. Council Member Lawson moved to appoint Mark Heath and James McGarry for <br /> <br />two-year terms and Mike Smith and Phyllis Karavatakis for four-year terms, <br /> <br />the motion was duly seconded and carried by the following vote, with all <br /> <br />members voting: Vote 4-0. Yeas (4) - Reynolds, Clark, Anderson, Lawson. <br /> <br />Nays (0) - None. Absent (1) - Ferrill. <br /> <br />The Henry County Board of Supervisors moved 5-1 to approve the <br /> <br />execution of a Memorandum of Understanding with the Harvest Foundation of <br /> <br />the Piedmont. Vice Mayor Clark moved to also approve the execution of a <br /> <br />Memorandum of Understanding with the Harvest Foundation, the motion was <br /> <br />duly seconded and carried by the following vote, with all members voting: Vote <br />
