<br />iO <br /> <br />TUESDAY <br /> <br />MARCH 22, 1983 <br /> <br />ARTICLE X. <br /> <br />INDEMNIFICATION <br /> <br />Section 1. Indemnification of Directors and Employees: The Corporation may, by resolution <br />of the Board of Directors, provide for indemnification by the Corporation of any and all of <br />its Directors or former Directors, officers or former officers, employees or former <br />employees, and/or present or past members or volunteers, and their respective heirs, admin- <br />istrators, successors, and assigns, against any and all expenses, including amounts paid <br />upon judgments, counsel fees, and amounts paid in settlement, whether before or after suit <br />is commenced, actually and necessarily incurred by such persons in connection with the <br />defense or settlement of any claim, action, suit, or proceedings in which they, or any of <br />them, are made parties, or a party, or which may be asserted against them, or any of them, <br />by reason of their connection with the Corporation, except in relation to matters as to <br />which any such person shall be adjudged in any action, suit, or proceeding to be liable for <br />his own negligence or misconduct in the performance of his duty. <br /> <br />With regard to the ordinance (introduced at Council's meeting held February 22, 1983) pro- <br /> <br />posing increases in fees for City electric service connections as well as some changes and/or <br /> <br />additions in wording under Article X, Appendix D and Appendix E, or the Terms and Conditions <br /> <br />for Electric Service, which proposed ordinance Council continued from its recent March 8th <br /> <br />meeting in order to receive in-put from various local builders and contractors, City i1anager <br /> <br />Edmonds reported that a conference with the builders and contractors has been conducted and, <br /> <br />as a result of concerns expressed by the builders-contractors in light of present economic <br /> <br />conditions, recommended that no changes be made at the present time in said charges and fees <br /> <br />but that the wording changes and/or additions be adopted. Council unanimously accepted the <br /> <br />Manager's recommendation and upon motion, duly seconded and unanimously carried, adopted the <br /> <br />ordinance, as revised, amending said Article X (Appendices D and E) of the Terms and <br /> <br />Conditions for Electric Service. <br /> <br />(Note: The amending ordinance is not herein made a part of <br /> <br />these minutes but is on file with the Clerk of Council.) <br /> <br />Determining that the following property owners were (or are) not at fault for the non-payment <br /> <br />of property taxes (now delinquent), Council directed that penalties and interest accrued <br /> <br />thereon be waived on the following properties and for the following years, upon the condition <br />
