<br />L <br /> <br />TUESDAY <br /> <br />MARCH 22, 1983 <br /> <br />-- <br /> <br />Section 3. Private Contributions: Contributions to the overall operations of the <br />Corporation shall be solicited by the Board and the Executive Director from private <br />sources. Such contributions may include cash or property, in accordance with rules of <br />the Internal Revenue Service. <br /> <br />ARTICLE VIr. <br /> <br />OFFICIAL SEAL <br /> <br />Section 1. Definition: The oficial seal of the Corporation shall consist of a disc with <br />a circle bearing the words "Martinsville-Henry County Economic Development Corporation." <br /> <br />-- <br /> <br />ARTICLE VIII. <br /> <br />AMENDMENT OF BYLAWS <br /> <br />Section 1. Procedure: Except as otherwise required by law, these bylaws may be amended, <br />in whole or in part, at any meeting of the Board of Directors, provided that notice of any <br />proposed amendment is provided to each member by certified mail at least two weeks in <br />advance. All such amendments shall also be approved by Martinsville City Council and Henry <br />County Board of Supervisors. <br /> <br />Section 2. Waiver of Notice Requirement: The notice requirement provided in Section 1 of <br />this Article may be waived by unanimous written consent of all members of the Board of <br />Directors. <br /> <br />ARTICLE IX. <br /> <br />DISSOLUTION <br /> <br />Section 1. Cause for Dissolution: If, at any future time, the purposes and goals of the <br />Corporation shall have been considered fulfilled by either governing body or for any other <br />reason either local governing body shall feel it expedient to dissolve the Corporation, <br />that local governing body shall adopt an official resolution setting forth such reasons and <br />shall request concurrence in the dissolution of the Corporation by the other local govern- <br />ment. Dissolution shall require agreement by both the Martinsville City Council and the <br />Henry County Board of Supervisors. <br /> <br />Section 2. Procedure: Following adoption of concurring resolutions by both Martinsville <br />City Council and Henry County Board of Supervisors as provided in Section 1 of this Article, <br />the Board of Directors shall begin dissolution of the organization, which shall be accom- <br />plished within ninety days of the action of the last governing body to so act. All assets <br />of the Corporation at the time of dissolution shall be equally divided between the City <br />Council and the Board of Supervisors. <br />
