<br />s <br /> <br />TUESDAY <br /> <br />NOVEMBER 9, 1982 <br /> <br />(4) Warranty. <br /> <br />Appalachian warrants that it is the owner of the property <br />to be conveyed by it pursuant to this Agreement and that <br />it has or will have at the time of closing the full right <br />and authority to convey the same. <br /> <br />(5) General. <br /> <br />This agreement shall be binding upon the successors and <br />assigns of the parties and shall be governed by and <br />construed in accordance with the laws of the Commonwealth <br />of Virginia. <br /> <br />IN WITNESS WHEREOF, the parties hereto have executed this Agreement <br />as of the day and year first above written. <br /> <br />Council unanimously accepted for introduction a proposed ordinance--and scheduled its <br /> <br />adoption at Council's forthcoming November 23rd meeting--proposing to sell and grant a <br /> <br />franchise for an electric light, heat and power transmission and distribution system in <br /> <br />the City of Martinsville, and inviting bids therefor, to serve six local industries which <br /> <br />Appalachian Power Company has served for many years under the terms of the City's <br /> <br />purchased power contract with Appalachian and (which) Appalachian desires to continue <br /> <br />serving under the proposed franc~ise ordinance. Council also unanimously adopted a <br /> <br />schedule, developed by City Manager Edmonds, required for the processing of this ordinance, <br /> <br />including its advertising, the receiving of bids, the acceptance of a bid, and the proces- <br /> <br />sing of the franchise ordinance. In adopting this schedule, Council cancelled its regular <br /> <br />meeting scheduled for Tuesday, December 28, 1982. <br /> <br />Mrs. Maxine D. Arnold, on behalf of the Martinsville Education Association, appeared <br /> <br />before Council and urged its support in the observance of "American Education Week" during <br /> <br />the week beginning November 15, 1982. <br />
