<br />Article 4. The participating localities creating the Authority are the City of Martinsville <br />and the County of Henry, both independent political subdivisions of the Commonwealth <br />of Virginia. <br /> <br />Article 5. The Authority's purposes will include acquiring, financing, constructing, <br />owning and operating public recreational facilities in Martinsville and Henry County, and <br />to that end it will have all statutory powers granted by the Act. Any project permitted <br />under the Act shall be an eligible project for the Authority. Consistent with the Act, no <br />future obligation ofthe Authority shall constitute a debt or pledge of the full faith and <br />credit of the Commonwealth of Virginia, the County of Henry or the City of Martinsville, <br /> <br />Article 6. The initial members of the board of directors of the Authority, and their <br />business addresses are: <br /> <br />Benny Summerlin <br />Henry County Administrator <br />3300 King's Mountain Road <br />P.O. Box 7 <br />Collinsville, VA 24078 <br /> <br />Robert R. "Dan" Collins <br />Martinsville City Manager <br />55 West Church Street <br />P.O. Box 1112 <br />Martinsville VA 24114 <br /> <br />They, and their respective successors in office as county administrator and city manager, <br />shall serve as members ex officio, who shall be entitled to participate as full, voting <br />members. Their terms on the Authority shall be concurrent with their respective terms of <br />employment as county administrator and city manager. <br /> <br />Following the adoption of these articles of incorporation, each Local Governing Body <br />shall appoint three additional residents of its locality, and a fourth resident of the locality <br />nominated by the Harvest Foundation of the Piedmont, to serve as voting members of the <br />board of directors. Notwithstanding the provisions of the Act, such voting members shall <br />not be officers or employees of the City or County governments, <br /> <br />Two of each locality's initial appointees shall be appointed for a term of two years, and <br />the other two, including the Harvest Foundation's nominees, shall be appointed for a term <br />of four years. Subsequent appointments shall be for full four-year terms, or to fill <br />vacancies for the unexpired current term. No member shall serve more than two full four- <br />year terms. <br /> <br />Article 7. All members of the board of directors shall serve without compensation, but <br />may be reimbursed by the Authority for their actual expenses incurred in the course of <br />their duties. They shall file such annual financial disclosure statements as may be <br /> <br />2 <br />
