CONCURRENT RESOLUTION OF THE CITY COUNCIL OF THE CITY OF MARTINSVILLE AND THE BOARD OF SUPERVISORS OF HENRY COUNTY CREATING AND ADOPTING ARTICLES OF INCORPORATION FOR THE SOUTHERN VIRGINIA RECREATION FACILITIES AUTHORITY Whereas, the City Council and the Board of Supervisors have published a notice pursuant to the Public Recreational Facilities Act, Chapter 56 of Title 15,2 (Sections 15,2-5600 through 15.2-5616 ofthe Code ofVirginia)("the Act") of their intent to create and adopt proposed articles of incorporation for a body politic and corporate to be known as the Southern Virginia Recreation Facilities Authority; and Whereas, a joint public hearing has been conducted by the two bodies at the time and place specified in such notice; and Whereas, the City Council and Board of Supervisors find it to be in the public interest that the Southern Virginia Recreation Facilities Authority be established to exercise the powers and carry out the responsibilities set forth in the Act, for the benefit of the citizens of Martinsville and Henry County; now, therefore, it is CONCURRENTLY RESOLVED BY THE CITY COUNCIL OF THE CITY OF MARTINSVILLE AND THE BOARD OF SUPERVISORS OF HENRY COUNTY, that the Southern Virginia Recreation Facilities Authority ("the Authority") is hereby created and established as a body politic and corporate in the Commonwealth of Virginia, under the following: AR nCLES OF INC ORP ORA nON Article 1. The Southern Virginia Recreation Facilities Authority ("the Authority") is hereby created and established as a body politic and corporate in the Commonwealth of Virginia. The principal office of the Authority shall initially be located at the Martinsville Municipal Building, 55 West Church Street, Martinsville, VA 24114; provided, however, that the board of directors of the Authority may by majority vote relocate the principal office to any other location in the City of Martins vi lIe or Henry County at any time, without asking the Local Governing Bodies to amend these Articles of Incorporation, Article 2. The Authority is created and established under the provisions of the Public Recreational Facilities Act, Chapter 56 of Title 15,2 (9915.2-5600 through 15.2-5616 of the Code ofVirginia)("the Act"), The Authority shall have all powers and duties set forth in the Act, as the same may from time to time be amended. Article 3. The initial term of the Authority's existence shall be fifty years, ending October 8, 2057; provided, however, that the participating localities may dissolve the Authority at an earlier date upon request of the Authority's board of directors, as provided in the Act.
