<br />'J Reasonable Relationship. The allocation set forth in Section 1 bears a reasonable <br />relationship to the respective benefits to be received by the IDA, the County and the City from <br />the issuance of the Bond within the meaning of Section 265(b)(3 )(C)(iii) of the Code, <br /> <br />3, Entire Agreement. This Allocation Agreement sets forth the entire understanding <br />and agreement of the parties hereto.. in relation to the subject matter hereof and supersedes any <br />prior negotiations and agreements among the parties relative to such subject matter. None of the <br />terms or conditions of this Allocation Agreement may be changed, modified, waived or canceled <br />orally or otherwise, except by \vriting, signed by the parties hereto, specifying slIch change, <br />modification, \vaiver or cancellation of such tCffilS or conditions, or of any proceeding or <br />succeeding breach thereof. <br /> <br />4. Counterparts. This A.llocation Agreement may be executed in any number of <br />counterparts, each of which shall be deemed an original as against any party whose signature <br />appears thereon, and all of which shall together constitute one and the same instrument. <br /> <br />5, Governing La\v. This Allocation Agreement shall in all respects be governed by <br />the laws and judicial decisions of the Commonwealth of Virginia. <br /> <br />6. Enforceability.
