<br />[ <br /> <br />TUESDAY <br /> <br />MARCH 22, 1983 <br /> <br />~ <br /> <br />ARTICLE II. <br /> <br />OFFICERS <br /> <br />Section 1. Election: At an annual meeting held in , the members of <br />the Board of Directors shall elect a Chairman, Vice-Chairman, Secretary, and Treasurer. <br />Two of these officers shall be appointees of Martinsville City Council, and two shall be <br />appointees of Henry County Board of Supervisors. The office of Chairman shall be rotated <br />annually between appointees of the City of Martinsville and Henry County. <br /> <br />- <br /> <br />Section 2. Chairman: The duties of the Chairman shall be to preside at all meetings of <br />the Board of Directors, maintain the orderly conduct thereof, and rule on all parliamentary <br />matters. He shall act as official spokesman for the Board and sign all documents <br />authorized by the Board. He shall provide guidance and direction to the Executive Director <br />in accordance with policies established by the Board and shall approve agendas for Board <br />meetings. He shall have an official vote in all deliberations of the Board. <br /> <br />Section 3. Vice-Chairman: The Vice-Chairman shall act in the place of the Chairman in his <br />absence or at his request. In the event of the death or resignation of the Chairman, the <br />Vice-Chairman shall serve in that position until a successor is elected by the Board. <br /> <br />Section 4. In addition, he shall insure that an annual audit of the Commission's <br />accounts is conducted by a certified public accountant and that copies of each such audit <br />are provided to the Martinsville City Manager and the Henry County Administrator. <br /> <br />Section 6. Executive Director: The Board of Directors shall employ a full-time Executive <br />Director, who shall serve at the pleasure of the Board. He shall be responsible to perform <br />all administrative functions necessary to carry out the policies of the Board and shall <br />offer counsel to the members and officers of the Board. He shall prepare agendas and <br />minutes of all Board meetings, conduct official correspondence, and maintain all records and <br />books of account. He shall co-sign all checks, drafts, and other documents drawing or trans- <br />ferring assets of the Corporation. In his absence, the Chairman or Vice-Chairman may co-sign <br />such documents. In addition, the Executive Director shall provide for an annual audit of the <br />Corporation's accouncs by a certified public accountant and shall provide copies of each such <br />audit to the Martinsville City Manager and the Henry County Administrator. The Executive <br />Director shall not have a vote on issues before the Board. <br /> <br />ARTICLE III. <br /> <br />MEETINGS <br /> <br />Section 1.
