<br />C. Proiect Coordination. The Foundation will form an ad hoc committee to <br />work with the project architects and engineers during the design and <br />construction process and will include such City and County staff persons <br />on that committee as the City Manager and County Administrator may <br />designate. <br /> <br />III. Commitments bv the City. In consideration of the value accruing to its <br />citizens from the Facilities that are being donated to the community by the <br />Foundation: <br /> <br />A. Formation of Authoritv. The City, acting concurrently with the County, <br />will create the Authority to act as the owner and operator of the Facilities. <br /> <br />B. Preparation and Conveyance of Site. After such legal proceedings as <br />may be required, the City will acquire and convey the site for the Arena to <br />the Authority without charge, including the entire city block bounded by <br />West Church, Fayette, Moss and Market Streets in downtown Martinsville <br />(the "Arena Site") containing approximately 2 acres, a portion of which <br />the City already owns and the remainder of which the city agrees to <br />acquire from its current owners (the "affected property"). At the <br />appropriate time prior to conveyance of the Arena site, the City will close <br />and vacate the public right of way known as Barton Street, which crosses a <br />portion of the block <br /> <br />The conveyance to the Authority will contain a permanent restriction to <br />the effect that the Authority shall not mortgage or convey the Arena <br />facility or the site in the future without the written consent of the board of <br />directors ofthe Foundation. <br /> <br />Before conveying the Arena Site to the Authority, the City will completely <br />clear the site, will conduct such geotechnical testing as would be <br />customary before undertaking construction of this type of project, and will <br />provide a completed and "clean" Phase I and if necessary, Phase II <br />environmental assessment as required by Virginia law, and certify that the <br />site is "shovel-ready." <br /> <br />To allow sufficient time for meeting these commitments and for relocation <br />of the classes and activities of Patrick Henry Community College that are <br />currently taking place on part of the site, the City will convey the property <br />currently owned by the City to the Authority not later than 18 months after <br />the approval of this agreement, and will use its best efforts to acquire and <br /> <br />2 <br />
