ColJins <br /> <br />City Attorney <br />Eric H, Monday <br /> <br />Clerk of Council <br />Susan N, Johnson <br /> <br />M <br /> <br />Martinsville <br /> <br />RESOLUTION REQUESTING THE WEST PIEDMONT <br />PLANNING DISTRICT COMMISSION TO CREATE A <br />VIRGINIA NONSTOCK CORPORATION TO ACQUIRE, <br />OWN AND OPERATE A CABLE TELEVISION SYSTEM <br />AND OTHER MATTERS IN CONNECTION THEREWITH <br /> <br />WHEREAS, the City of Martinsville ("Martinsville") is a member locality of the West <br />Piedmont Planning District Commission (the "PDC"); <br /> <br />WHEREAS, the PDC was created pursuant to the Regional Cooperation Act (Chapter <br />42, Title 15.2 of the Code of Virginia of 1950, as amended) (the "Act"), and consists of seven <br />members, including the Counties of Henry, Franklin, Patrick and Pittsylvania, the Cities of <br />Danville and Martinsville, and the Town of Rocky Mount; <br /> <br />WHEREAS, at the request of one or more member localities, the Act authorizes the PDC <br />to participate in the creation or organization of nonprofit corporations to perform functions or <br />operate programs in furtherance of the Act's purposes; <br /> <br />WHEREAS, the Act's purposes include improving public health, safety, convenience <br />and welfare; providing for the social, economic and physical development of communities and <br />metropolitan areas of the Commonwealth of Virginia on a sound and orderly basis, within a <br />governmental framework and economic environment which will foster constructive growth and <br />efficient administration; and encouraging regional cooperation and coordination with the goals of <br />improved services to citizens and increased cost-effectiveness of governmental activities; <br /> <br />WHEREAS, in furtherance of the purposes of the Act, Martinsville desires that the PDC <br />participate in the creation of a corporation (the "Company") to acquire, own and operate the <br />existing cable television system serving Martinsville and the County of Henry (the "System"); <br /> <br />WHEREAS, representatives of Martinsville appeared at the PDC's meeting of February <br />23, 2006, to request the PDC to create the Company; and <br /> <br />WHEREAS, at such meeting, the PDC asked the representatives of Martinsville to <br />present such request in writing to the PDC or its Executive Committee, and the City Council of <br />Martinsville (the "Council") desires to adopt a resolution signifying such request and present <br />such resolution to the PDC or its Executive Committee. <br /> <br />55 West Church Street PO, Box 1112 Martinsville, VA 24114-1112 276-403-5180 Fax: 276-403-5280 <br />www.ci.martinsville.va.us <br />
