LEGAL DEPARTMENT CITY OF MARTINSVILL. I=', VIRGINIA Enclosure #! DISSOLUTION RESOLUTION WHEREAS, Martinsville-Henry County Economic Development Corporation, doing business under the style of Patrick-Henry Development Council, is a non-stock corporation formed by the City of Martinsville, Virginia and County of Henry, Virginia to promote economic development in this region, and, WHEREAS, in its Charter, the management of said Corporation is vested in its Board of Directors, and, WHEREAS, irreconcilable differences have arisen between the City of Martinsville and the County of Henry pertaining to the management of said Corporation leading to the necessity of dissolving said Corporation, and, WHEREAS, Section 1 under Article IX of the By-Laws of said Corporation provide that dissolution shall be initiated by concurring resolutions of both Martinsville City Council and Henry County Board of Supervisors calling for said dissolution, and, WHEREAS, the Henry County Board of Supervisors has voted to adopt such a resolution but has not as yet actually done so, NOW THEREFORE, BE IT RESOLVED by the Council of the City of Martinsville, Virginia, in special session held on July 5, 2001, that it is both desirable and necessary that said corporation be dissolved, and BE IT FURTHER RESOLVED that the Henry County Board of Supervisors be, and they hereby are, requested to concur in the dissolution of the Corporation by the adoption of their own dissolution resolution so that the actual dissolution of said Corporation may be commenced and completed within 90 days from the date of the adoption of a dissolution resolution by the Henry County Board of Supervisors, and BE IT FURTHER RESOLVED that the Clerk of Council shall forthwith send a certified copy of this resolution to the Henry County Administrator andto the Executive Director of the Patrick-Henry Development Council.
